Terms and Conditions
An agreement also involves specific terms and conditions. You can read them here. These terms and conditions have been drawn up to apply for all the members of Wintercircus Collective. They shall apply to the relationship between you, as the member, and us (TENT BV, further referred to as “TENT”). For clarity, both "Wintercircus Collective" and "The Collective" are official names used interchangeably in these terms and conditions and are legally binding. TENT has the right to make changes with regard to the Terms and Conditions. By agreeing and signing this version of the Terms & Conditions, you also agree that such amended Terms & Conditions shall apply to you at all times.
1. THIS AGREEMENT
- Nature of this agreement. The present Agreement defines the general rights and obligations of the parties in the implementation of the Wintercircus Collective Membership. This Agreement is intended for the member personally and is not transferable.
- Compliance with the House Rules. The member undertakes to comply with all the House Rules that TENT in general imposes on members of the Wintercircus Collective. The House Rules form part of this Agreement.
- Immediate termination of this Agreement. In the event that the member fails to adhere to the rules and regulations of Wintercircus Collective, TENT reserves the right to terminate their membership without notice or refund. Non-compliance includes, but is not limited to, the violation of House Rules, disruptive behaviour, misuse of facilities, or any action that is deemed detrimental to the overall Collective environment. The decision to terminate the membership will be made at the sole discretion of TENT management.
- Effects of termination. In case of termination of this Agreement, the member shall immediately vacate the premises. Access to the Collective facilities, event calendar, and network will be revoked.
- Secrecy. The provisions of this Agreement are confidential. It is not permissible for either TENT or the member to disclose this Agreement without the consent of the counterparty, unless this is mandatory under the law or is required by a government authority. This obligation shall continue to apply for five (5) years after this Agreement comes to an end.
- E-Signature. The parties agree that electronic signatures qualifying as an advanced or a qualified electronic signature under the eIDAS Regulation (Regulation (EU) No 910/2014) will have the same evidential value as an original paper copy with a handwritten signature.
- Notifications. All notifications made because of or in connection with the Agreement shall be sent by email.
- Applicable law. The Agreement shall be subject to the laws of Belgium. Both TENT as well as the member accept the exclusive jurisdiction of the relevant courts in Ghent.
2. PURPOSE
Wintercircus Collective is designed to create a community of forward thinkers and entrepreneurial minds to (net)work, learn, sport and have fun in the Wintercircus. We strive to create an environment that supports personal and professional development.
3. MEMBERSHIP
Variety of memberships. Wintercircus Collective offers a variety of memberships, each with unique fees and benefits to suit different needs.
Personal Membership
NEXTGEN Membership, (age between 18 and 30, at a discounted rate):
- Access to Wintercircus Collective facilities (9a-6p serviced) on weekdays from 8am to 8pm.
- Access to our curated Members Only program of events, keynotes, and experiences, introducing you to one of the strongest networks and ecosystems in Belgium.
- Gym access at member rates outside class hours.
- Gym group classes designed to elevate your fitness and networking opportunities at member rates.
- Collective Meeting Rooms at member rates.
- In-house Wintercircus hospitality at members' discount.
- External Wintercircus partner discounts.
Regular Membership
- Access to Wintercircus Collective facilities (9a-6p serviced) on weekdays from 8am to 8pm.
- Access to our curated Members Only program of events, keynotes, and experiences, introducing you to one of the strongest networks and ecosystems in Belgium.
- Gym access at member rates outside class hours.
- Gym group classes designed to elevate your fitness and networking opportunities at member rates.
- Collective Meeting Rooms at member rates.
- In-house Wintercircus hospitality at members' discount.
- External Wintercircus partner discounts
Certain add-on packages can be added to the regular memberships.
Add-on 1:
- Wintercircus Gym Credits for booking gym group classes or personal gym time (outside class hours).
- Wintercircus Meeting Credits for booking collective meeting rooms.
These credits will renew monthly, but are billed annually.
Add-on 2:
- Free gym access outside class hours.
- Unlimited free access to gym group classes.
- Unlimited use of meeting spaces, bookable via the Wintercircus App. (excl. Board Room)
- Discounted rates for event spaces (excluding Arena).
Team Membership
Team Memberships are tailored packages to meet the specific needs of each group or organisation. The package includes a minimum of 5 memberships, add-on packages for sports classes & meeting rooms credits and credit for event space rental. Corporate memberships will always have an individual contract.
Wild Card
Wild Cards are free memberships for those who need it the most. Wild Cards offer the same benefits as a Regular Membership but will be reviewed yearly.
Name and address of the member. It is only permissible to use the Collective Membership under the member’s own name or - in case of a team membership - a name that has been approved by TENT in advance.
Term. The term of the Agreement is concluded for a period of one (1) year, starting the date of signing the agreement, and will be automatically renewed each year on the anniversary date of the Agreement, until it is terminated by the member or TENT at least one (1) month before the desired end date of the Agreement by written request.
Maximum memberships. TENT has the right to determine the maximum number of total members at any point in time.
Declined members. TENT shall not be required to give any reasons to an applicant in the event of their application for a Membership being unsuccessful.
SERVICES
Ecosystem. A vibrant ecosystem of changemakers is waiting for you. Ready to engage and exchange, leveraging the network for personal and professional growth.
Events. Wintercircus Collective shall organise weekly impactful events based on different pillars. Such as talks, masterclasses, keynotes, network events, small gatherings, sport activities, … to name a few. Special nights and themed events are organised regularly.
Private co-workspace. TENT shall make available an equipped, furnished co-working space in the location mentioned in this Agreement. This will be available on working days from 8am to 8pm.
Collective facilities. Members can book meeting rooms, sport infrastructure and event spaces.
Additional benefits. The member enjoys additional benefits with Collective hospitality partners and external partners.
COMPLIANCE, LIABILITIES AND PAYMENTS
Compliance with applicable laws. The member shall comply with all applicable laws. The member shall refrain from doing any such thing that may disturb the use of the location by TENT or by other persons or that cause loss or damage to TENT (including damage to reputation).
Force Majeure. No Party shall be liable or be deemed to have failed to perform its obligations under the Agreement, other than payment obligations, if any delay or failure in the performance of the rights and obligations under the Agreement is attributable to circumstances beyond the control of the Parties and disruptive to the normal course of business, including, but not limited to, government order, mobilisation, war, epidemic or pandemic (or contagious disease), lock-out, strike, demonstration, technical defects in the transmission of communications, flooding of water or sewage, explosion, change in the general economic circumstances, act of vandalism, or exceptional meteorological circumstances, without the Party invoking it having to demonstrate the unforeseeable nature of these circumstances (the "Force Majeure").
The Party claiming Force Majeure shall inform the other Party without delay and in writing and shall take all reasonable measures to overcome the temporary situation resulting from the Force Majeure. In this case, either Party may suspend the performance of its rights and obligations under the Agreement for the time necessary to overcome the temporary situation or terminate the Agreement if the situation of Force Majeure persists for more than sixty (60) days, without any compensation being due.
Personal data. The member acknowledges and consents to the transfer or making accessible of his personal data to TENT, irrespective of where they may be established, for the purpose of providing the related services. The use of the member's personal data will be restricted to what is strictly necessary for the operational, administrative, and financial functioning of TENT. TENT will implement appropriate measures to ensure data security and maintain the data within company boundaries at all times.
Image Usage Consent: Members consent to the collection, processing, and use of personal data, including images, for advertising, marketing, and promotional purposes.
Scope of liability of TENT. TENT shall not be liable vis-à-vis the member, with regard to loss, bodily injury or damage suffered by the member in connection with this Agreement, the services or the access to the facilities of the member, unless TENT has caused such loss or damage deliberately or through gross negligence.
Registered office. The member may not establish its registered office at the address of the Wintercircus due to the nature of their Agreement.
Exclusion of consequential damage. TENT shall never be liable for any loss of sale or profits, loss of expected savings, loss or damage of data, claims of third parties or for any consequential damage unless TENT expressly agrees to the same in writing. TENT strongly advises the member to obtain insurance against all possible losses, damages or costs or liability.
Invoicing. TENT shall send all invoices electronically. Payments must be prompt to avoid access being paused or denied.
SEPA mandate. The member authorises TENT to collect the respective amounts due under the SEPA (Single Euro Payments Area) direct debit procedure and agrees to provide a corresponding SEPA mandate.
Membership Fees. TENT reserves the right to determine Membership Fees at any time at its sole discretion. Members will be notified of any fee increases prior to the renewal of their Membership.
Late payments. Any failure or delay in the partial or total payment of subscription fees and/or any other amounts owed to TENT will result in a written notice being sent to the Member after two weeks. If the payment is not made within two weeks after the first notice, the Member's access to TENT will be denied until the debt is cleared. A last reminder will be sent three weeks after the initial failure of payment. If the Member fails to settle the outstanding amount within five (5) working days of the last reminder notice, the amount will be subject to: (i) a penalty of ten percent (10%) of the amount due to TENT, with a minimum of one hundred euros (€100), and (ii) if applicable, lawyers' fees.
